These Terms of Service ("Terms") govern your access to and use of the Beeaye website (beeaye.com) and related services (collectively, the "Service") provided by Lunar j.d.o.o. ("Beeaye," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. About Beeaye

Beeaye is an AI-powered business intelligence platform that integrates with enterprise resource planning (ERP) systems to help businesses analyze their operational data and make informed decisions. The Service is operated by:

2. Eligibility

The Service is intended for business use only. By using the Service, you represent that:

• You are at least 18 years old and legally capable of entering into binding contracts.
• You are authorized to act on behalf of the business or organization you represent.
• Your use of the Service complies with all applicable laws and regulations.

3. Demo Requests and Free Credits

You may request a product demonstration through our contact form. Demo requests are subject to availability and our sole discretion. Any free credits or trial access offered are non-transferable, have no cash value, and may be modified or terminated at any time.

4. Intended Use

Beeaye is designed to process business data from ERP systems to provide analytical insights. You agree to use the Service only for lawful business purposes and in accordance with these Terms. You are solely responsible for:

• The accuracy and legality of any data you provide or connect to the Service.
• Ensuring you have the necessary rights and permissions to process such data.
• Complying with all applicable data protection laws, including GDPR.

5. Prohibited Conduct

You agree not to:

• Use the Service for any illegal, harmful, or fraudulent purpose.
• Attempt to gain unauthorized access to any part of the Service or its infrastructure.
• Reverse engineer, decompile, or disassemble any component of the Service.
• Copy, modify, distribute, or create derivative works based on the Service.
• Use the Service to transmit malicious code, spam, or harmful content.
• Interfere with or disrupt the Service or servers connected to it.
• Misrepresent your identity or affiliation with any person or organization.

6. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, software, and design — are owned by Lunar j.d.o.o. or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any data you provide to the Service ("Customer Data"). By using the Service, you grant us a limited license to process Customer Data solely to provide the Service to you.

7. Third-Party Services and Integrations

The Service may integrate with third-party systems (such as ERP platforms). Your use of such third-party services is governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of any third-party service.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. You use the Service at your own risk.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Lunar j.d.o.o. and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from or related to your use of the Service.

In no event shall our total liability exceed the amount paid by you, if any, for accessing the Service during the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Lunar j.d.o.o. and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service ceases immediately.

12. Changes to the Service and Terms

We may modify or discontinue the Service, or any part of it, at any time without notice. We may also update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the revised Terms. The "Last updated" date at the top indicates when these Terms were last revised.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Croatia, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts in Varaždin, Croatia.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lunar j.d.o.o. regarding the Service and supersede any prior agreements.
